Terms of Use

1. Acceptance of Terms

By accessing or using PaceLeaf's website, app, or services (collectively, "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, please do not use our Services.

These Terms apply to all users, including waitlist registrants, partner applicants, and future app users.

2. Nature of the Service

PaceLeaf is a sustainability rewards and community engagement platform. PaceLeaf Points ("Points") are a loyalty rewards currency, similar to airline miles, retailer loyalty points, or coffee stamp cards.

PaceLeaf Points have no cash value unless explicitly stated in a specific partner offer, cannot be sold, transferred (except as provided), or converted to fiat currency, and are not redeemable for cash.

3. Eligibility

• You must be at least 13 years of age to use PaceLeaf.
• Users between 13 and 18 must have parental or guardian consent.
• The Service is currently targeted at US residents, though we do not restrict international waitlist signups.

4. User Conduct

You agree not to:

• Provide false information during signup or activity logging
• Attempt to game or artificially inflate your points balance
• Use bots, scripts, or automated tools to interact with the Services
• Reverse engineer, decompile, or attempt to access our source code
• Use the Services for any unlawful purpose
• Harass, abuse, or harm other users or PaceLeaf staff
• Create multiple accounts to gain additional points

Violation of these conduct rules may result in immediate suspension or permanent termination of your account and forfeiture of any earned Points.

5. Rewards Program Terms

5.1 Points Earning

• Points are awarded for verified sustainable activities as defined by PaceLeaf's current rules.
• PaceLeaf reserves the right to modify points values, earning rates, and eligible activities at any time with reasonable notice.
• Disputed activity verifications must be submitted within 30 days of the activity date.

5.2 Points Redemption

• Points may only be redeemed for rewards offered by active PaceLeaf partner businesses.
• Reward availability, point requirements, and partner participation may change without notice.
• PaceLeaf is not responsible for the quality, availability, or fulfillment of rewards provided by partner businesses.
• Redeemed points are not refundable if the reward cannot be fulfilled by a partner.

5.3 Points Expiration

• Points expiration policy will be established before the platform launches.
• We will provide at least 90 days' notice before implementing any points expiration policy.

5.4 Account Termination

• If your account is terminated for conduct violations, any unredeemed Points are forfeited.
• If you voluntarily close your account, you will have 30 days to redeem any remaining Points.

6. Disclaimers

6.1 Environmental Impact Disclaimers

• All CO₂ savings, steps tracked, and environmental impact metrics presented by PaceLeaf are estimates.
• PaceLeaf is not a certified carbon offset or carbon credit provider. Our impact metrics do not constitute verified carbon offsets.
• Environmental impact numbers should not be used in regulatory filings, financial disclosures, or legal documents.

6.2 Service Availability

• PaceLeaf is provided "as is" without warranty of any kind.
• We do not guarantee uninterrupted access to the Services.
• Reward partner participation may change, and we do not guarantee the continued availability of any specific reward.

6.3 Reward Value Disclaimer

PaceLeaf Points have no guaranteed monetary value. The value of points is subject to change based on partner agreements and platform economics. PaceLeaf is not responsible for any perceived loss in value of Points.

7. Limitation of Liability

To the fullest extent permitted by applicable law, PaceLeaf shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of points, inability to redeem rewards, or service interruptions.

Our total liability to you for any claim arising from the Services shall not exceed $100 USD or the amount you paid to PaceLeaf in the past 12 months, whichever is greater.

8. Intellectual Property

All PaceLeaf content, trademarks, logos, and software are the property of PaceLeaf and its licensors. You may not reproduce, distribute, or create derivative works without our written permission.

9. Changes to Terms

We may update these Terms at any time. We will notify registered users of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the United States and the state of incorporation of PaceLeaf (to be determined), without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by applicable law.
